About us:

The Corporate Paralegal will assist with a variety of contract matters, including drafting, reviewing, and revising legal documents, such as NDAs, broker agreements and vendor agreements. Many of the agreements start from saved templates. The primary role of the Corporate Paralegal will be to intake all tasks from the business teams and maintain a list of open tasks and make sure that they are completed by the legal department. This role will also input all signed agreements into the contract management software and calendar all milestones and deadlines. Lastly, this role will maintain all corporate entities filed in CA, NV and DE and file all statements of information, as well as draft resolutions and general certificates.

Duties and Responsibilities:
  • Manage the contract management software and upload and populate key milestones and deliverable and set reminders
  • Entity formation, dissolution, periodic entity maintenance. Obtain EIN. Filing online renewals and set reminders in contract database
  • NDA review, redline and finalize for all business units
  • Sales Representative (Broker) Agreements 
  • Distributor Agreements
  •  Commercial contracts/agreements – first level analysis
  • Various special research projects as assigned
  • Update/create organizational charts 
  • Conduct tasks associated with the handling of proprietors’ personal affairs demonstrating confidentiality and a high standard of professionalism
  • Other duties as assigned
Qualifications and Experience:
  • Bachelor’s degree is a preferred
  • Ability to work collaboratively with all levels of the organization and demonstrate a team-oriented work style
  • Ability to effectively handle shifting priorities and adapt to changing demands in a fast-paced, dynamic environment
  • Advanced proficiency in Microsoft Word and Excel
  • Excellent interpersonal, written and verbal communication skills
  • Demonstrated problem solving skills
  • CA Notary License is a plus
